如何自己注册成立美国公司（LLC 或 Corporation）？

目前在网上可以找到的美国公司成立服务都很贵，基本都在2000美元以上（包括成立银行账户），每年费用也至少在1000美元以上。但实际上，美国公司的成立和维护成本是非常低的。以 Delaware 州的 LLC（Limited Liability Company）为例，如果你自己跑流程（实际上比较简单——但仍然推荐由专业人士来完成），全程费用只需：

1. Filing Fee $100刀左右（具体多少我忘了，好像是100多点）


2. 以后每年$250美刀的 Franchise Tax（缴纳给DE州政府）


3. 以后每年的 Registered Agent Fee（支付给你的 Registered Agent 服务公司——因为 DE 州法律规定 LLC 或 Corporation 必须在本州当地有一个 Registered Agent）

如果找专业人士来完成，除了以上必交的费用以外，服务费不等，在$0 - $2000甚至更高。为什么还有人不收费、愿意免费为你服务？因为他们会要求你用他们做你的 Registered Agent——这样每年你都要给他们支付一定的服务费。我看到的 RA 服务公司收费大约在每年$50 - $300这个范围。

找律师的话，成立费用较贵，我用的律师 Ryan Roberts 收费是$1000刀。大约一周左右，公司就成立下来了。Corporation 比 LLC 要麻烦。如果是面向美国市场做外贸、从美国收款的同学，最好是成立 Single-member LLC，即单人成员的LLC，并且使用中国地址。这样的公司属于 Disregarded Entity，是不需要向 IRS 报税的。其他形式的LLC也可以避税，但是严格来说，并不属于 Disregarded Entity。尤其是 Corporation，不建议个人或者小公司选择。如果你成立这个公司就是为了吸收风险投资（Venture Capital），则必须注册 Corporation，LLC 是不行的。

另外还有个律师 Dana Shultz 收费是$2000。

除了律师，提供公司注册服务的非律师机构、公司也有很多，价格上也要便宜些，比如 Harvard Business Services，注册服务费在$329 - $850之间。我的 Registered Agent 就是这家，一年只要$50刀。还有更便宜的，但是不推荐。如果实在想省钱，也可以试试。

银行账户方面，暂时还没有发现不用亲自去美国的开户办法。而且就算远程开户，第一次打款电汇回国，很可能还是必须亲自去一趟。拿到美国的留学或者工作签证，就很容易办理美国银行账户。往返成本最低大约15000元人民币。只要能亲临银行柜台，开户是不难的。

如果不能亲临美国，可以选择硅谷银行 SVB.com（在北京、上海等和浦发银行有分部）或者汇丰银行的卓越理财 HSBC Premier（目前大部分省会城市都有 HSBC 的卓越理财中心）。前者主要为科技创业公司（startup）提供全程银行服务，后者可以帮助你在美国的汇丰银行预约开户——但可能仍需要亲临美国才能实现第一次电汇回国。以后就不需要了。

一个客户来信：

I am interested in your xxxxxxx for approx. $320. I would be interested in purchasing one to see what it is like and try it on. However, if I decide it is not the dress for my wedding and I want to return it, I will not have used it at all, it will be returned with all the tags and in the same packaging. I would be returning it with the intention of receiving a full refund for the dress. Is this possible? I know that there is a partial refund but I would not have a need to keep the dress and would want a full refund. If this is possible then I would be interested in purchasing this dress in a size 10 in Ivory.

Thank you for reaching out to us. We understood and accept what you said. Our solution is as follow:  If you would need to return this wedding dress, sorry to tell you that you need to pay the Delivery fee all by yourself. 这段回复问题很多，第一句Thank you for reaching out to us.完全可以更简单，比如Thank you for reaching us.同样的意思，一定是选择更简单的表达方式，亲切有力。这算是一个原则。

第二句要表达对客户的理解，其实完全没有必要。类似的各种国内通行的客套话在面对老外时都可以省去。如果非要说，可以这样说：We totally understand your concerns / problem / situation / worries that / , but / , however ....

as follow不对，要么是as follows要么是as following

sorry to tell you that...chinglish, 这种话也不要说，让人感觉有什么坏事发生了一样。。all by yourself这种话也有点不近人情，显得是我们把这个责任推给了客户，应该说得委婉一点，暗示是客户自己应该做的事情，比如you would be responsible for any fees incurred by returning the item.

And after we ....这个And根本没必要，and but besides moreover what's more in addition....最自然的英语应该是尽量少用各种联接词的。想表达什么就直接表达就可以了。不要烦恼于语言本身的所谓“自然”。

最后改完的回复：

We totally understand your concerns and will do everything we can to make sure you have a pleasant shopping experience at XXXXX.
